\r\n\t\r\n\t\r\n\t\r\n\tPlease read the following Terms and Conditions\r\ncarefully as they contain important information about your rights and\r\nobligations. We recommend that you keep a copy of these Terms and Conditions\r\nand (if this document is not in hard copy form) that you print out these Terms\r\nand Conditions from the Site by clicking on the print icon on your browser so\r\nthat you can keep them for your future reference.
1. ABOUT\r\nUS AND THESE TERMS & CONDITIONS
1.1. Who\r\nwe are: \"We\" or \"us\"\r\nare UK Flooring Direct Ltd, a company registered in England with registered\r\nnumber 05542003 whose registered office is at Unit 2 Logix Road, Hinckley Commercial Park, Hinckley, Leicestershire LE10 3BQ. If you have any comments or suggestions, we would be\r\npleased to receive them at our main address or by emailing us at info@ukflooringdirect.co.uk.\r\nAlternatively, you may fax us on 02476 397 828.
1.2. Scope\r\nof these Terms and Conditions: These Terms and\r\nConditions govern the supply by us of any product ordered by you, whether on\r\nthe https://www.ukflooringdirect.co.uk/ web\r\nsite (the \"Site\") or by telephone. Any particular individual\r\nproduct that you order at any one time from us is referred to in these Terms\r\nand Conditions as the \"Product\". Further details of the\r\nProduct can be obtained by reviewing the Site or looking in the materials\r\napplicable to the Product (which may be available from us on request). By\r\nagreeing to order a Product, you agree to be legally bound by these Terms and\r\nConditions.
1.3. Changes\r\nto these Terms and Conditions: We reserve the\r\nright to amend these Terms and Conditions at any time. All amendments to these\r\nTerms and Conditions will be posted on-line. However, continued use of the Site\r\nwill be deemed to constitute acceptance of the new Terms and Conditions. No\r\nother terms or changes to the Terms and Conditions shall be binding unless\r\nagreed in writing signed by us.
1.4. Definitions\r\nand Interpretation: In these Terms and\r\nConditions:
1.4.1. \r\n\"Acknowledgement\" means\r\nour acknowledgement of your Order;
1.4.2. \r\na \"Business\r\nDay\" means a day which is neither (a) a Saturday or Sunday nor (b) a public holiday\r\nin the United Kingdom;
1.4.3. \r\n\"Confirmation of\r\nOrder\" means our written or electronic communication to you in which\r\nwe accept your Order in accordance with clause 3.
1.4.4. \r\nthe \"Contract\" means\r\nyour order of a Product in accordance with these Terms and Conditions which we\r\naccept in accordance with clause 3 below. If you order more than one unit of Product,\r\neach Product ordered will constitute a separate Contract;
1.4.5. \r\n\"Order\" means\r\nthe order submitted by you to us to purchase a Product from us either online or\r\nby telephone;
1.4.6. \r\n\"Order Form\" means\r\nthe physical order form in the form supplied or approved by us, on which you\r\nmay place Orders;
1.4.7. \r\n\"you\" means\r\nthe customer who orders a Product from us, whose details are more particularly\r\nset out on the Site or on the Order Form;
1.4.8. \r\nreferences to “clauses” are\r\nto clauses of these Terms and Conditions;
1.4.9. \r\nheadings (including\r\nheadings within individual clauses) are for ease of reference only and shall\r\nnot affect the interpretation or construction of the Terms and Conditions;
1.4.10. \r\nwords imparting the\r\nsingular shall include the plural and vice versa. Words imparting a\r\ngender shall include every gender and references to persons shall include\r\nan individual, company, corporation, firm or partnership;
1.4.11. \r\nreferences to any statute\r\nor statutory provision shall include any subordinate legislation made under it,\r\nany provision which it has modified or re-enacted (whether with or without\r\nmodification) and any provision which subsequently supersedes it or re-enacts\r\nit (whether with or without modification); and
1.4.12. \r\nreferences to “includes”\r\nor “including” or like words or expressions shall mean without limitation.
2. \r\nEFFECT
2.1. Accepting\r\nthese Terms and Conditions: These Terms and\r\nConditions shall apply to all Orders and to all Contracts made or to be made by\r\nus for the sale and supply of Products. When you submit an Order to us,\r\ngive any delivery instruction or accept delivery of the Products, this shall\r\nalways constitute your unqualified acceptance of these Terms and Conditions.\r\nWhere you are a consumer, nothing in these Terms and Conditions affects your legal\r\nrights (including the right to insist that goods you buy from businesses must\r\ncorrespond with their description, be fit for their purpose and be of\r\nsatisfactory quality).
2.2. These\r\nTerms and Conditions take priority: These Terms and\r\nConditions shall prevail over any separate terms put forward by you. Any\r\nconditions that you submit, propose or stipulate in whatever form and at\r\nwhatever time, whether in writing, by email or orally, are expressly waived and\r\nexcluded. If you give us a purchase order (other than in the form of the\r\nOrder), this is purely for your administrative purposes and shall not form part\r\nof the Contract.
2.3. Ignoring\r\nstatements not in these Terms and Conditions: Without\r\naffecting your legal rights if\r\nyou are a consumer, no statements made by our employees, contractors or agents\r\nor contained in any brochures, catalogues, sales literature or correspondence\r\nare intended to have any legal effect unless expressly agreed in writing by us\r\nor referred to in the Contract.
2.4. No\r\nContract for sales by sample: Unless expressly\r\nagreed by us in writing to that effect, no Contract shall be a sale by sample.
3. \r\nMAKING ORDERS OF PRODUCTS
3.1. Procedure\r\nfor making an Order: When making an Order, you must:
3.1.1. \r\nif placing the Order by\r\ntelephone, provide the necessary details requested by our sales team; or
3.1.2. \r\nif placing the Order\r\nonline, follow the instructions on the Site or on the Order Form as to how to\r\nmake your Order and for making changes to your Order before you submit it to us\r\nor the Site.
3.2. Price: Irrespective\r\nof any previous price you have seen or heard, once you select a Product that\r\nyou wish to Order, you will then be shown or told (on the Order Form or the\r\nSite or by our sales team) the charges you must pay including VAT, if\r\napplicable, and any applicable delivery charges. Unless otherwise stipulated on\r\nthe Site or the Order Form or agreed in writing by us, all charges are in the currency\r\nthen in force in England (i.e. currently pounds sterling). Subject to clause 3.12 below, this is\r\nthe total that you will pay for receipt of the ordered Product.
3.3. \r\nDelivery:
Delivery to UK addresses:\r\nFor delivery to UK addresses, an interactive map of the UK will give you the\r\nminimum delivery charge for your postcode (which can be found here).\r\nAlternatively, you may stipulate when you place your Order that you would like\r\nto collect the Product from our distribution centre (located at UK Flooring\r\nDirect Ltd, Unit 2 Logix Road, Hinckley Commercial Park, Hinckley, Leicestershire LE10 3BQ, a map of which can\r\nbe found here),\r\nin which case there will be no delivery charges applicable to your Order. We will advise you of the earliest date on\r\nwhich you may collect your Product.
Any\r\ndelivery charge will always be a minimum of £15 (which is the lowest delivery charge), and subject to that minimum will be\r\nbased on:
3.3.1. \r\nthe postcode location of\r\nthe delivery address you provide when placing your Order; and
3.3.2. \r\nthe weight of the Product\r\nthat you have ordered.
Free\r\nDelivery: When a 'Free Delivery' promotion is advertised this\r\napplies to Standard UK Delivery Booked Day Service only. This service usually costs\r\n£16.67 plus VAT and the lead time is usually 2-3 business days. Should standard\r\ndelivery not be available to your location then the promotion may not apply and\r\nyour delivery charge will be appropriate to the postcode entered in your\r\ndelivery address. This promotion cannot be used in conjunction with any other\r\noffer.
Delivery to non-UK addresses:\r\nPlease note that we do accept Orders from registered addresses outside the UK\r\nvia our Site (and also other than via the Site). However, in such a case,\r\nalthough we can deliver to a UK address or you can pick up the delivery from\r\nour Coventry site (as above), if you want delivery to a non-UK address, you\r\nmust contact us to ask for the delivery prices to a non-UK address, which we\r\nwill find out and tell you.
3.4. Payment\r\nmethods: You shall pay for the Product in full at the time\r\nof ordering by supplying us with a cheque or your credit or debit card details\r\nfrom a credit or debit card company acceptable to us, which we require in order\r\nto process your Order. Alternatively, you may pay by any method that we have\r\nsaid is acceptable to us, but in any event (unless otherwise agreed by us in\r\nwriting) we shall not be bound to supply before we have received cleared funds\r\nin full. We may need to run credit checks or other anti-fraud checks in certain\r\ncases, for example, if the billing address does not match the delivery address\r\n– and you agree to cooperate with these checks.
3.5. Instalments:\r\nIf an Order comprises multiple Products we may deliver the Products in\r\ninstalments, for which we may invoice you separately. Each instalment shall\r\nconstitute a separate Contract. Any delay in delivery or problem with one\r\ninstalment shall not entitle you to cancel any other instalment. This applies to our business customers only.
3.6. Permission\r\nto pay: If you are asked for details of a payment card or a\r\ncheque, you must be fully entitled to use that card and account. The card and\r\naccount must have sufficient funds to cover the proposed payment to us.
3.7. Correct\r\ndetails: You undertake that all details you provide to\r\nus for the purpose of purchasing the Product from us will be correct, that the\r\ncredit or debit card, or account or other payment method, which you use, is\r\nyour own and that there are sufficient funds or credit facilities to cover the cost of the Product. We reserve\r\nthe right to obtain validation of your credit or debit card details before providing\r\nyou with the Product.
3.8. Being\r\nbound by these Terms and Conditions: When you\r\nsubmit an Order to us or the Site, you agree that you do so subject to these\r\nTerms and Conditions current at the date you submit your Order. You are\r\nresponsible for reviewing the latest Terms and Conditions each time you submit an Order.
3.9. Your\r\nOrder is an offer to buy: Your Order remains\r\nvalid as an offer until we issue our Confirmation\r\nof Order or, if earlier, when we receive your notice revoking your Order.
3.10. \r\nAcceptance of your\r\nOrder: We shall not be obliged to supply the Product to\r\nyou until we have accepted your Order. Unless expressly stating that we accept\r\nyour Order, an email, letter, fax or other Acknowledgement of your Order by us\r\nis purely for information purposes and does not constitute the\r\nConfirmation of Order. In that Acknowledgement, we may give you an Order\r\nreference number and details of the Product you have ordered. We may, in our\r\ndiscretion, refuse to accept an Order from you for any reason, including\r\nunavailability of supplies or we may offer you an alternative Product (in which\r\ncase we may require you to re-submit your Order first). The Contract shall be\r\nformed and we shall be legally bound to supply the Product to you when we\r\naccept your Order. Acceptance shall take place when we expressly accept your\r\norder by email, letter or fax to you, in the form of a document called a\r\n“Confirmation of Order” stating that we are accepting your Order. Our\r\nConfirmation of Order shall be deemed to come into effect when it has been\r\ndespatched by us. Without affecting your obligation to pay us earlier, we may\r\nsend an invoice to you at any time after we have accepted your Order. Until the\r\ntime when we accept your Order, we reserve the right to refuse to process your\r\nOrder and you reserve the right to cancel your Order. If we or you have\r\ncancelled your Order before we have accepted it, then we will promptly refund\r\nany payment already made by you or your credit or debit card company to us for\r\nthe order of the Product.
3.11. Mistakes\r\nin an Order: If you discover that you have made a mistake with your Order after you\r\nhave submitted it to us or the Site, please contact customerservice@ukflooringdirect.co.uk or 0844 327 4444\r\nimmediately.
3.12. Accuracy\r\nof prices: We\r\ntry very hard to ensure that the price given to you is accurate, but the price\r\nof your Order will need to be validated by us as part of our acceptance\r\nprocedure. If the price for the Order changes before we accept your\r\nOrder, we will contact you and ask you to confirm that you wish to proceed at\r\nthe amended price.
3.13. Cancelling\r\nbefore despatch: If you wish to cancel your\r\nOrder after you have received the Confirmation of Order but before the Product\r\nhas been despatched to you, we will refund the payment made by you or your\r\ncredit or debit card company to us, for our sale of the cancelled Product,\r\nwithin 2 Business Days of our receipt of your notice of cancellation. You must\r\nsend your notice of cancellation by email to customerservice@ukflooringdirect.co.uk or by fax to 02476 397 828,\r\nin each case quoting our order reference number and delivery details.
3.14. A record of your order:\r\nWe keep an electronic copy of the contract between us for any Order and we will\r\nsend you, by email, both the details of your Order and a copy of the current\r\nTerms and Conditions that apply to that Order. Of course, you can also find the\r\ncurrent Terms and Conditions here at all times and details of all your recent Orders\r\ncan be found in your Account (accessed with your customer login).
4. \r\nPRICE PROMISE GUARANTEE
4.1. \r\nOur Price Promise\r\nGuarantee: If you see or buy a Product on the Site and find it\r\ncheaper elsewhere, as long as that cheaper price is inclusive of VAT and\r\nincludes applicable delivery costs, we will:
4.2. \r\nScope of Price Promise\r\nGuarantee: The Price Promise Guarantee applies only to\r\nidentical products and goods in stock immediately available (and not on\r\nrequest) from online competitors who sell to consumers. The product or goods\r\nmust be priced fully and accurately.
4.3. \r\nHow to claim: In\r\norder to submit your Price Promise Guarantee claim, please contact us at:

clearly stating the\r\ndetails of the Product, the competitor, the cheaper price you have seen, where\r\nyou saw the cheaper price and the date on which you saw the cheaper price. If\r\nwe (i) accept your Price Promise Guarantee claim and you are yet to buy the\r\nProduct, you will be able to place an Order for the Product at the reduced\r\nprice detailed under clause 4.1.1; or (ii) accept\r\nyour Price Promise Guarantee claim and you have already purchased the Product,\r\nwe will refund the difference, as detailed under clause 4.1.2, to you within 14\r\ndays of our acceptance of your claim.
4.4. \r\nWhat the Price Promise\r\nGuarantee does not apply to: The Price\r\nPromise Guarantee does not apply to:
4.4.1. \r\nany special, promotional\r\nor discounted offers given by competitors; or
4.4.2. \r\nany competitors who are\r\nin administration or closing down.
5. \r\nDELIVERY OF THE PRODUCT
5.1. \r\nDelivery: We\r\naim to deliver the Product to you at the kerb-side at the nearest access point\r\nfor our delivery lorry to the place of delivery requested by you in your Order.\r\nYou must arrange for the transport of the Product from the kerb-side once it\r\nhas been unloaded from the delivery lorry, although we may be able to deliver\r\nlight parcels to your door.
5.2. \r\nDetails when you place your Order: When\r\nyou place your Order you must inform us if you have any doubt whether our\r\ndelivery lorry will be able to access the place of delivery you stipulate in\r\nthat Order due to, for example, size or weight restrictions. If we cannot\r\naccess the place of delivery that you stipulate in your Order due to the size\r\nof our delivery lorry, to the extent permitted by law, we shall not be liable\r\nto you for any losses, liabilities, costs, damages, charges or expenses arising\r\nout of:
5.2.1. \r\nnon-delivery of the\r\nProduct; or
5.2.2. \r\ndelivery of the Product\r\nat a place different to the place of delivery that you stipulate in your Order.
5.3. \r\nAccepting delivery: We\r\ncannot leave Products at places of delivery stipulated in your Order if you, or\r\nsomeone you have authorised to accept delivery, is not present to accept\r\ndelivery. Anyone at the delivery address will be deemed to be authorised to\r\naccept delivery.
5.4. \r\nTimeframe: We\r\naim to deliver within the timeframe indicated by us at the time of your Order\r\n(and updated in the Confirmation of Order), which will be within 30 days of\r\nyour Order, but we cannot promise an exact date at the time of your Order or at\r\nthe Confirmation of Order. When you place your Order you are able to provide a\r\npreferred delivery date, and, once the Confirmation of Order has been sent, we\r\nwill contact you either to confirm that your preferred date is possible or to\r\narrange an alternative date. We always aim to deliver in accordance with any\r\nconfirmed delivery date we have given to you for any Order which we accept but\r\nwe cannot guarantee any firm delivery dates and we suggest that, if you require\r\nan installation specialist to install the Product, you make arrangements for\r\nthe installation only once you have received delivery of the Product.
5.5. \r\nNext day delivery details: Next\r\nday delivery can be requested for Orders. However, we only offer next day\r\ndelivery for Orders placed by phone (and for which we have received full\r\npayment) before 5pm.\r\nNext day delivery is not available for Orders placed on Saturdays, Sundays or\r\nBank Holidays. Finally, next day delivery is always subject to availability of\r\nstock, subject to a surcharge we will notify to you at the time of ordering and\r\nis always dependent on where the delivery location is as to whether we can\r\noffer it.
5.6. \r\nDelivery times: We\r\naim to deliver between the hours of 8am and 6pm on Business Days and between\r\nthe hours of 8am and 4pm on Saturdays. (Please note that delivery on Saturdays\r\nis available for Orders by phone only and is always subject to availability of\r\nstock, subject to a surcharge we will notify to you at the time of ordering and\r\nis always dependent on where the delivery location is as to whether we can\r\noffer it). Specific estimates for the time of delivery on any delivery date\r\ncannot be given.
5.7. \r\nUnable to meet estimated\r\ndelivery date: We shall aim to let you know if we expect\r\nthat we are unable to meet our estimated delivery date but, to the extent\r\npermitted by law, we shall not be liable to you for any losses, liabilities,\r\ncosts, damages, charges or expenses arising out of late delivery.
5.8. \r\nAccepting delivery: On\r\ndelivery of the Product, you are required to sign for delivery. You agree to\r\ninspect the Product for the correct quantities and any obvious faults, defects\r\nor damage before you sign for delivery. If the Product does have an obvious\r\nfault, defect or damage on delivery, you must stipulate that the Product is\r\nfaulty, defective or damaged when you sign for delivery; a failure to stipulate\r\nthis will mean that we cannot replace the faulty, defective or damaged Product.\r\nYou need to keep receipt of the delivered Product in case of future discussions\r\nwith us about it. You must submit any claim to us for faulty, defective or\r\ndamaged Products within 30 days of delivery of the Product to you in accordance\r\nwith this clause to the following contact details:

If you do report a\r\nfaulty, defective or damaged product to us, clause 8 applies.
5.9. \r\nDifficult locations: Please\r\nnote that it might not be possible for us to deliver to some locations. If this\r\nis the case, we will inform you using your contact details and arrange for\r\ncancellation of the Order or an alternative delivery address.
5.10. Packaging: We\r\ndeliver in our standard packaging. Any special packaging requested by you is\r\nsubject to additional charges. It is your responsibility to dispose of all\r\npackaging (e.g. pallets, packaging etc.).
5.11. Risk: All\r\nrisk in the Product shall pass to you upon delivery, except that if you request\r\ndelivery via a particular courier or other third party delivery, risk shall\r\npass at the date when we transfer the Product to such courier or third party.\r\nFrom the time when risk passes to you, we will not be liable for loss or\r\ndestruction of the Product.
5.12. Care\r\nwhen opening: You must take care when opening the Product so as\r\nnot to damage it, particularly when using any sharp instruments.
5.13. Readiness\r\nto receive Products: You shall ensure that you are ready for safe\r\nreceipt of the Product without undue delay and at any time reasonably specified\r\nby us.
5.14. If\r\nyou are not around: If you are not available to take delivery, we\r\nmay leave a card giving instructions on redelivery from the carrier. We may\r\nalso pass on any costs incurred by us as a consequence of no-one being\r\navailable to take delivery.
5.15. Refusal\r\nto accept delivery: If delivery or collection is delayed through\r\nyour unreasonable refusal to accept delivery, if you are not at the place of\r\ndelivery stipulated in your Order on the delivery date that we agree with you,\r\nif you refuse to sign for the delivery of the Product on delivery or if you do\r\nnot (within two weeks of our first attempt to deliver the Product to you)\r\naccept delivery or collect the Product from the carrier, then we may (without\r\naffecting any other right or remedy available to us) do either or both of the\r\nfollowing:
5.15.1. \r\ncharge you for our\r\nreasonable storage fee and other costs reasonably incurred by us, including,\r\nbut not limited to, redelivery costs; and
5.15.2. \r\nno longer make the\r\nProduct available for delivery or collection and notify you that we are\r\nimmediately cancelling the Contract, in which case we will refund to you or\r\nyour credit or debit card company as applicable any money already paid to us\r\nunder the Contract, less our reasonable administration charges (including for\r\nattempting to deliver and then returning the Product).
5.16. When\r\nyou own Products: You shall own the Product on the later of\r\nwhen we deliver it to you and when we receive payment in full for the Products\r\n(including VAT and delivery charges).
5.17. Do\r\nthe Products meet your needs?: It is your\r\nresponsibility to ensure that the Products are sufficient and suitable for your\r\npurposes and meet your individual requirements. We do not warrant that the\r\nProducts will meet your individual requirements. You acknowledge that, unless we specifically state otherwise,\r\nthe Products are standard and not made bespoke to fit any particular\r\nrequirements that you may have.
6. \r\nSAMPLES AND COLOURING
6.1. \r\nSamples: Samples\r\nof Products may be provided out of stock on request through the Site or by\r\ntelephone. Samples are provided for guidance only. Samples of a Product may\r\ndiffer as our Products are natural and no two samples of the same Product will\r\nbe identical. Samples may be subject to a small fee for postage and packing.\r\nOnly 3 samples can be ordered at any one time.
6.2. \r\nColouring: The\r\ncolouring of products as shown on the Site may vary from the Product delivered\r\nto you due to limitations in the software or hardware you use to access the\r\nSite.
7. \r\nRETURNING THE PRODUCT WITHOUT\r\nFAULT
7.1. \r\nNOT AFFECTING YOUR LEGAL\r\nRIGHTS: THE REMEDIES IN THIS CLAUSE 7 ARE ADDITIONAL TO\r\nAND DO NOT AFFECT YOUR LEGAL RIGHTS, UNDER WHICH YOU MAY HAVE THE RIGHT TO\r\nINSIST THAT GOODS THAT YOU BUY FROM BUSINESSES MUST CORRESPOND WITH THEIR\r\nDESCRIPTION, BE FIT FOR THEIR PURPOSE AND BE OF A SATISFACTORY QUALITY. THIS\r\nCLAUSE 7 ONLY APPLIES IN\r\nRESPECT OF PRODUCTS WHICH ARE NOT FAULTY.
7.2. \r\nRight to cancel: If you are contracting\r\nas a consumer, you may cancel a Contract at any time within 14 days, beginning\r\non the day after you received the Product. In this case, you will receive a\r\nfull refund of the price paid for the Products in accordance with our refunds\r\npolicy (set out in clause 9 below). Details of your right\r\nof cancellation, and an explanation of how to exercise it, are provided in the\r\nConfirmation of Order. This provision does not affect your other legal rights\r\nas a consumer. Please note\r\nthat if we have agreed to supply you with any made-to-measure or non-standard\r\nProducts you will not have a right\r\nto cancel under this clause 7.
7.3. \r\nHow to cancel: To\r\ncancel a Contract as detailed under the previous clause, you must inform us in writing.\r\nYou must also arrange prompt delivery of the Products back to us as soon\r\n as reasonably\r\npracticable (and in any event within 14 days of notifying us you wish to\r\ncancel) and at your own cost. If your product is a rug, we can arrange \r\nto collect the product or you can return this to use free of charge. To \r\narrange a return you will need to contact us by email to customerservice@ukflooringdirect.co.uk or by fax to 02476 397 828. If you fail to comply with this obligation, we may have a\r\nright of action against you for compensation.
7.4. \r\nPackaging returned\r\nProducts: If you return any Product because you have\r\ncancelled a Contract, you must ensure that it is adequately packaged and\r\ncarriage has been paid. We shall not accept any responsibility for damage\r\ncaused by inadequate packaging by you.
8.1. \r\nQuality of Products: We\r\nwarrant that:
8.1.1. \r\nthe Product will be\r\ndelivered undamaged in the quantities ordered; and
8.1.2. \r\nthe Product will conform\r\nwith the manufacturer's latest published instructions as set out on the Site or\r\nin our Product materials at the time of your Order.
8.2. \r\nUse of Products: The\r\nProduct is intended to be used strictly in accordance with the manufacturer's\r\nlatest published instructions as set out on the Site or as set out in any user\r\ninstructions sent to you with the Product. It is the user's responsibility to\r\nensure that he or she uses the Product strictly in accordance with those instructions.
8.3. \r\nMinor Adjustments: Before\r\ndelivery, we may make minor adjustments to material, colour, weight,\r\nmeasurements, design and other features to the extent that they are reasonable.
8.4. \r\nInspection: We\r\ntry very hard to deliver Products in excellent condition. However, if you tell\r\nus that any Product is faulty, you agree to keep the Product in its current\r\ncondition available for us (or our agent) to inspect within a reasonable time.
8.5. \r\nAssistance to remedy faulty\r\nProducts: In order to provide you with any remedies for\r\na faulty Product, we may need your assistance and prompt provision of certain\r\ninformation regarding the Product, including:
8.5.1. \r\nyou specifying with\r\nreasonable detail the way in which it is alleged that the Product is damaged or\r\ndefective;
8.5.2. \r\nyou providing to us\r\nphotographic evidence, on request; and
8.5.3. \r\nyou providing us with the\r\ndelivery note number and such other information as we reasonably require.
8.6. \r\nWhen we won’t repair, replace\r\nor refund: If you would like us to repair, replace or provide\r\na refund for the Product where it did conform to the Contract, or we find that\r\nthe Product has:
8.6.1. \r\nbeen misused, abused or\r\nsubjected to neglect, improper or inadequate care, carelessness, damage or\r\nabnormal conditions; or
8.6.2. \r\nbeen involved in any\r\naccident or damage caused by an incorrect attempt at modification or repair; or
8.6.3. \r\nbeen dealt with or used\r\ncontrary to our or the manufacturer's instructions for the Product; or
8.6.4. \r\ndeteriorated through\r\nnormal wear and tear;
after\r\ndelivery by us, we may at our discretion decide not to repair, replace or\r\nrefund you for the Product and/or we may require you to pay all reasonable\r\ncarriage costs and servicing costs at our current standard fees and costs and\r\ncharge this to your credit or debit card, and, to the extent permitted by law,\r\nwe shall not be liable to you for any losses, liabilities, costs, damages,\r\ncharges or expenses as a result.
8.7. \r\nWhat we don’t limit or exclude\r\nliability for: Nothing in these Terms and Conditions excludes or\r\nlimits our liability for death or personal injury caused by our negligence, for\r\nfraud, for breach of Section 12 of the Sale of Goods Act 1979 or for any other\r\nliabilities that we cannot exclude at law.
8.8. \r\nSummary of your legal rights.\r\nWe are under a legal duty to supply products that are in conformity with this\r\ncontract. See the box below for a summary of your key legal rights in relation\r\nto the product. Nothing in these terms will affect your legal rights.
| \r\n This is a summary of your key legal rights. These\r\n are subject to certain exceptions. For detailed information please visit the\r\n Citizens Advice website www.adviceguide.org.uk\r\n or call 03454 04 05 06. If your product is goods, for example a\r\n rug, the Consumer Rights Act 2015 says goods must be as described, fit for\r\n purpose and of satisfactory quality. During the expected lifespan of your\r\n product your legal rights entitle you to the following: · \r\n up to 30 days: if your goods\r\n are faulty, then you can get an immediate refund. · \r\n up to six months: if your\r\n goods can't be repaired or replaced, then you're entitled to a full refund,\r\n in most cases. · \r\n up to six years: if your\r\n goods do not last a reasonable length of time you may be entitled to some\r\n money back. If your product is services, for example\r\n floor fitting, the Consumer Rights Act 2015 says: · \r\n you can ask us to repeat or\r\n fix a service if it's not carried out with reasonable care and skill, or get\r\n some money back if we can't fix it. · \r\n if you haven't agreed a\r\n price beforehand, what you're asked to pay must be reasonable. · \r\n if you haven't agreed a time\r\n beforehand, it must be carried out within a reasonable time. | \r\n
9.1. \r\nReturns: If\r\nyou return a Product to us:
9.1.1. \r\nbecause you have\r\ncancelled the Contract between us within the 14-day cooling-off period (see\r\nclause 7.2), we will process the refund due to you as soon as\r\npossible after they have been safely returned and, in any case, within 14 days\r\nof the day on which we receive the returned Product. In this case, we will\r\nrefund the price of the Product in full, including any applicable delivery\r\ncharges. However, you will be responsible for the cost of returning the Product\r\nsafely to us; or
9.1.2. \r\nfor any other reason (for\r\ninstance, because you consider that the Product is defective under clause 8), we will examine the returned Product and will\r\nnotify you of your refund via e-mail within a reasonable period of time. We\r\nwill usually process any refund due to you as soon as possible and, in any\r\ncase, within 14 days of the day we confirmed to you via e-mail that you were\r\nentitled to a refund. We will refund the price of a defective Product in full\r\nincluding any applicable delivery charges.
9.2. \r\nRefunds: We\r\nwill usually refund any money received from you using the same method\r\noriginally used by you to pay for your purchase - except if payment was in\r\ncash, in which case we will issue a cheque.
10. REGISTRATION\r\nFOR THE SITE
10.1. Need\r\nfor an Account: If you would like to place an Order through\r\nthe Site, you will need to register for an account on the Site (an “Account”)\r\nwhich you will be able to access on the Site through the “My Account” part of\r\nthe Site. To register you need to supply us with your name, postcode and email\r\naddress and possibly some other personal information. See our Privacy\r\nand Cookies Policy for more details about\r\nthis.
10.2. Registration\r\ndetails: Once you register with the Site, you will be\r\nasked to create a username for, and allocate a password to, your Account. You\r\nmust keep the password confidential and immediately notify us if any\r\nunauthorised third party becomes aware of that password or if there is any\r\nunauthorised use of your email address or your Account or any breach of\r\nsecurity known to you. You agree that any person to whom your user name or\r\npassword is disclosed is authorised to act as your agent for the purposes of\r\nusing (and/or transacting via) your Account. Please note that you are entirely\r\nresponsible if you do not maintain the confidentiality of your password.
10.3. Email\r\naddresses: You must be registered with a valid personal email\r\naddress that you access regularly so that, among other things, administration\r\nemails can be sent to you. Any Accounts which have been registered with someone\r\nelse's email address or with temporary email addresses may be closed without\r\nnotice. We may require you to validate Accounts at registration or if we\r\nbelieve you have been using an invalid email address.
10.4. Closing\r\nAccounts: We reserve the right to close your Account if a\r\nnon-UK user pretends to be a UK User, or disrupts the Site in any way.
11. INFORMATION\r\nAND NEWSLETTERS
11.1. Mailing\r\nlists: When you place an Order, we will, with your\r\nconsent, add your details to our mailing lists for news, updates, promotions\r\nand voucher\r\ncodes. Our use of your personal data shall be in\r\ncompliance with our Privacy\r\nand Cookies Policy.
11.2. Unsubscribing: Any\r\ninformation or newsletter that we send to you will contain information for you\r\nto unsubscribe from our mailing list. Alternatively, to unsubscribe contact us\r\non 0844 327 0000 or by logging in to your Account.
12. CIRCUMSTANCES\r\nBEYOND OUR CONTROL
12.1. Circumstances\r\nbeyond our control: We shall not be liable to you\r\nfor any breach, hindrance or delay in the performance of the Contract\r\nattributable to any cause beyond our reasonable control, including any Act of\r\nGod, actions of third parties (including without limitation hackers, suppliers,\r\ngovernments, quasi-governmental, supra-national or local authorities),\r\ninsurrection, riot, civil commotion, war, hostilities, warlike operations,\r\nnational emergencies, terrorism, piracy, arrests, restraints or detainments of\r\nany competent authority, strikes or combinations or lock-out of workmen,\r\nepidemic, fire, explosion, storm, flood, drought, weather conditions, earthquake,\r\nnatural disaster, accident, mechanical breakdown, third party software, failure\r\nor problems with public utility supplies (including general: electrical,\r\ntelecoms or Internet failure), shortage of or inability to obtain supplies,\r\nmaterials, equipment or transportation (\"Event of Force Majeure\"),\r\nregardless of whether the circumstances in question could have been foreseen.
12.2. Terminating: Either\r\nyou or we may terminate the Contract immediately by written notice to the other\r\nin the event that the Event of Force Majeure lasts for a period of two Business\r\nDays or more, in which event neither you nor we shall be liable to the other by\r\nreason of such termination (other than for the refund of a Product already paid\r\nfor by you and not delivered).
12.3. Choosing\r\nwho to supply: If we have contracted to provide identical or\r\nsimilar Products to more than one buyer and are prevented from fully meeting\r\nour obligations to you by reason of an Event of Force Majeure, we may decide at\r\nour absolute discretion which contracts we will perform and to what extent.
13. OUR\r\nRIGHTS TO END THE CONTRACT
This clause 13.1 applies to business customers\r\nand not individuals who are purchasing as consumers.
13.1. Breach\r\nor debt: If\r\nyou:
13.1.1. \r\nare in breach of any or\r\nyour obligations under the Contract; or
13.1.2. \r\nare unable to pay your\r\ndebts or have a petition for administration or winding up presented against you\r\nor commence winding up proceedings or have a receiver or manager appointed over\r\nany of your property or assets or are the subject of a bankruptcy petition or\r\nenter into any composition with creditors generally or take or suffer any steps\r\npreparatory thereto or if any distress or execution is levied or threatened to\r\nbe levied on any of your property or assets;
we\r\nmay terminate the Contract immediately on giving notice in writing and retain\r\nany advance payment and you shall indemnify us against all claims, losses,\r\ndamages, liabilities, costs and expenses of whatsoever nature resulting from\r\nany such termination and all sums due to us from you shall become immediately\r\npayable.
This clause 13.2 applies only to individuals\r\nwho are purchasing as consumers.
13.2. We may end the contract if you break it. We may end the contract for a\r\nProduct at any time by writing to you if:
13.2.1. \r\nyou do not make any\r\npayment to us when it is due and you still do not make payment within 7 days of\r\nus reminding you that payment is due;
13.2.2. \r\nyou do not, within a\r\nreasonable time of us asking for it, provide us with information that is\r\nnecessary for us to provide the products, for example, confirming any\r\noutstanding order requirements; or
13.2.3. \r\nyou do not, within a\r\nreasonable time, allow us to deliver the products to you or collect them from us.
You\r\nmust compensate us if you break the contract. If we end the contract in the\r\nsituations set out above we will refund any money you have paid in advance for\r\nProducts we have not provided but we may deduct or charge you reasonable\r\ncompensation for the net costs we will incur as a result of your breaking the\r\ncontract.
Clauses 13.3 and 13.4 apply to all customers.
13.3. We may withdraw the Product. We may write to you to let you\r\nknow that we are going to stop providing the Product. We will let you know as\r\nsoon as reasonably possible in advance of our stopping the supply of the\r\nProduct and will refund any sums you have paid in advance for Products that\r\nwill not be provided.
13.4. Effect\r\nof termination: Termination\r\nof the Contract shall be without prejudice to any accrued rights or remedies of\r\neither you or us. Termination of the Contract will not affect the coming into\r\nforce or continuance in force of any provision which is expressly or by\r\nimplication intended to come into or continue in force on or after such\r\ntermination.
14. NOTICES
14.1. Form\r\nof notice: Any notice under the Contract shall be in writing\r\nand may be served by personal delivery or by pre-paid or recorded delivery\r\nletter or by facsimile or email addressed to the relevant party at the address\r\nor facsimile number of the relevant party last known to the other.
14.2. When\r\nnotices are effective: Any notice given\r\nby post shall be deemed to have been served two Business Days after the same\r\nhas been posted and any notice given by facsimile shall be deemed to have been\r\nserved upon receipt of an answerback signal from the receiving machine and any\r\nnotice given by email shall be deemed to have been served when the email has\r\nbeen proved to be received by the recipient’s server, and in proving such\r\nservice it shall be sufficient to prove that the letter or facsimile was\r\nproperly addressed or numbered and, as the case may be, posted as a prepaid or\r\nrecorded delivery letter or despatched or an answerback signal received.
15. GENERAL
15.1. Keeping\r\nrecords: We shall keep a record of your order and\r\nthese Terms and Conditions until six years after we have accepted your Order.\r\nHowever, for your future reference, we advise you to print and keep a copy of\r\nthese Terms and Conditions, your Order, the Acknowledgement and the\r\nConfirmation of Order.
15.2. Non-waiver\r\nof rights: No failure or delay by either party in exercising\r\nany right under the Contract shall operate as a waiver of such right or extend\r\nto or affect any other or subsequent event or impair any rights or remedies in\r\nrespect of it or in any way modify or diminish your or our rights under the\r\nContract.
15.3. Unenforceability: If\r\nany clause in these Terms and Conditions shall become or shall be declared by\r\nany court of competent jurisdiction to be invalid or unenforceable, such\r\ninvalidity or unenforceability shall in no way affect any other clause or part\r\nof any clause, all of which shall remain in full force and effect, so long as\r\nthe Terms and Conditions shall be capable of continuing in effect without the\r\nunenforceable term.
15.4. Non-assignment: You\r\nshall not assign or transfer or purport to assign or transfer the Contract to\r\nany other person.
15.5. No\r\npartnership etc.: Nothing in the Contract shall\r\ncreate or be deemed to create a partnership, an agency or a relationship of\r\nemployer and employee between you and us.
15.6. No\r\nthird party rights: A person who is not a party to\r\nthe Contract has no rights under the Contracts (Rights of Third Parties) Act\r\n1999 in respect of the Contract.
15.7. Governing\r\nlaw and jurisdiction: Contracts for the purchase of Products (and\r\nthese Terms and Conditions) and any dispute or claim arising out of or in\r\nconnection with them or their subject matter or formation (including\r\nnon-contractual disputes or claims) shall be governed by English law. Any\r\ndispute or claim arising out of or in connection with such Contracts or their\r\nformation or these Terms and Conditions (including non-contractual disputes or\r\nclaims) will be subject to the exclusive jurisdiction of the English courts,\r\nexcept where, by law, such dispute or claim must be brought in the jurisdiction\r\nin which you are domiciled, or where the relevant law contains mandatory\r\nprovisions that override such exclusive jurisdiction. All dealings,\r\ncorrespondence and contacts between us shall be made or conducted in the\r\nEnglish language.
15.8. \r\nAlternative dispute resolution Alternative\r\ndispute resolution is a process where an independent body considers the facts\r\nof a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled\r\nany complaint, you may want to contact the alternative dispute resolution\r\nprovider we use. You can submit a\r\ncomplaint to The Retail Ombudsman via\r\ntheir website at http://www.theretailombudsman.org.uk The Retail Ombudsman will\r\nnot charge you for making a complaint and if you are not satisfied with the\r\noutcome you can still bring legal proceedings. \r\nIn addition, please note that disputes may be submitted for online\r\nresolution to the European Commission Online Dispute Resolution platform

1. ABOUT\r\nUS AND THESE TERMS & CONDITIONS
1.1. 1.2. Scope\r\nof these Terms and Conditions: These Terms and\r\nConditions govern the supply by us of any product ordered by you, whether on\r\nthe https://www.ukflooringdirect.co.uk/ web\r\nsite (the \"Site\") or by telephone. Any particular individual\r\nproduct that you order at any one time from us is referred to in these Terms\r\nand Conditions as the \"Product\". Further details of the\r\nProduct can be obtained by reviewing the Site or looking in the materials\r\napplicable to the Product (which may be available from us on request). By\r\nagreeing to order a Product, you agree to be legally bound by these Terms and\r\nConditions.
1.3. Changes\r\nto these Terms and Conditions: We reserve the\r\nright to amend these Terms and Conditions at any time. All amendments to these\r\nTerms and Conditions will be posted on-line. However, continued use of the Site\r\nwill be deemed to constitute acceptance of the new Terms and Conditions. No\r\nother terms or changes to the Terms and Conditions shall be binding unless\r\nagreed in writing signed by us.
1.4. Definitions\r\nand Interpretation: In these Terms and\r\nConditions:
1.4.1. \r\n\"Acknowledgement\" means\r\nour acknowledgement of your Order;
1.4.2. \r\na \"Business\r\nDay\" means a day which is neither (a) a Saturday or Sunday nor (b) a public holiday\r\nin the United Kingdom;
1.4.3. \r\n\"Confirmation of\r\nOrder\" means our written or electronic communication to you in which\r\nwe accept your Order in accordance with clause 3.
1.4.4. \r\nthe \"Contract\" means\r\nyour order of a Product in accordance with these Terms and Conditions which we\r\naccept in accordance with clause 3 below. If you order more than one unit of Product,\r\neach Product ordered will constitute a separate Contract;
1.4.5. \r\n\"Order\" means\r\nthe order submitted by you to us to purchase a Product from us either online or\r\nby telephone;
1.4.6. \r\n\"Order Form\" means\r\nthe physical order form in the form supplied or approved by us, on which you\r\nmay place Orders;
1.4.7. \r\n\"you\" means\r\nthe customer who orders a Product from us, whose details are more particularly\r\nset out on the Site or on the Order Form;
1.4.8. \r\nreferences to “clauses” are\r\nto clauses of these Terms and Conditions;
1.4.9. \r\nheadings (including\r\nheadings within individual clauses) are for ease of reference only and shall\r\nnot affect the interpretation or construction of the Terms and Conditions;
1.4.10. \r\nwords imparting the\r\nsingular shall include the plural and vice versa. Words imparting a\r\ngender shall include every gender and references to persons shall include\r\nan individual, company, corporation, firm or partnership;
1.4.11. \r\nreferences to any statute\r\nor statutory provision shall include any subordinate legislation made under it,\r\nany provision which it has modified or re-enacted (whether with or without\r\nmodification) and any provision which subsequently supersedes it or re-enacts\r\nit (whether with or without modification); and
1.4.12. \r\nreferences to “includes”\r\nor “including” or like words or expressions shall mean without limitation.
2. \r\nEFFECT
2.1. Accepting\r\nthese Terms and Conditions: These Terms and\r\nConditions shall apply to all Orders and to all Contracts made or to be made by\r\nus for the sale and supply of Products. When you submit an Order to us,\r\ngive any delivery instruction or accept delivery of the Products, this shall\r\nalways constitute your unqualified acceptance of these Terms and Conditions.\r\nWhere you are a consumer, nothing in these Terms and Conditions affects your legal\r\nrights (including the right to insist that goods you buy from businesses must\r\ncorrespond with their description, be fit for their purpose and be of\r\nsatisfactory quality).
2.2. These\r\nTerms and Conditions take priority: These Terms and\r\nConditions shall prevail over any separate terms put forward by you. Any\r\nconditions that you submit, propose or stipulate in whatever form and at\r\nwhatever time, whether in writing, by email or orally, are expressly waived and\r\nexcluded. If you give us a purchase order (other than in the form of the\r\nOrder), this is purely for your administrative purposes and shall not form part\r\nof the Contract.
2.3. Ignoring\r\nstatements not in these Terms and Conditions: Without\r\naffecting your legal rights if\r\nyou are a consumer, no statements made by our employees, contractors or agents\r\nor contained in any brochures, catalogues, sales literature or correspondence\r\nare intended to have any legal effect unless expressly agreed in writing by us\r\nor referred to in the Contract.
2.4. No\r\nContract for sales by sample: Unless expressly\r\nagreed by us in writing to that effect, no Contract shall be a sale by sample.
3. \r\nMAKING ORDERS OF PRODUCTS
3.1. Procedure\r\nfor making an Order: When making an Order, you must:
3.1.1. \r\nif placing the Order by\r\ntelephone, provide the necessary details requested by our sales team; or
3.1.2. \r\nif placing the Order\r\nonline, follow the instructions on the Site or on the Order Form as to how to\r\nmake your Order and for making changes to your Order before you submit it to us\r\nor the Site.
3.2. Price: Irrespective\r\nof any previous price you have seen or heard, once you select a Product that\r\nyou wish to Order, you will then be shown or told (on the Order Form or the\r\nSite or by our sales team) the charges you must pay including VAT, if\r\napplicable, and any applicable delivery charges. Unless otherwise stipulated on\r\nthe Site or the Order Form or agreed in writing by us, all charges are in the currency\r\nthen in force in England (i.e. currently pounds sterling). Subject to clause 3.12 below, this is\r\nthe total that you will pay for receipt of the ordered Product.
3.3. \r\nDelivery:
Delivery to UK addresses:\r\nFor delivery to UK addresses, an interactive map of the UK will give you the\r\nminimum delivery charge for your postcode (which can be found here).\r\nAlternatively, you may stipulate when you place your Order that you would like\r\nto collect the Product from our distribution centre (located at UK Flooring\r\nDirect Ltd, Unit 2 Logix Road, Hinckley Commercial Park, Hinckley, Leicestershire LE10 3BQ, a map of which can\r\nbe found here),\r\nin which case there will be no delivery charges applicable to your Order. We will advise you of the earliest date on\r\nwhich you may collect your Product.
Any\r\ndelivery charge will always be a minimum of £15 (which is the lowest delivery charge), and subject to that minimum will be\r\nbased on:
3.3.1. \r\nthe postcode location of\r\nthe delivery address you provide when placing your Order; and
3.3.2. \r\nthe weight of the Product\r\nthat you have ordered.
Free\r\nDelivery: When a 'Free Delivery' promotion is advertised this\r\napplies to Standard UK Delivery Booked Day Service only. This service usually costs\r\n£16.67 plus VAT and the lead time is usually 2-3 business days. Should standard\r\ndelivery not be available to your location then the promotion may not apply and\r\nyour delivery charge will be appropriate to the postcode entered in your\r\ndelivery address. This promotion cannot be used in conjunction with any other\r\noffer.
Delivery to non-UK addresses:\r\nPlease note that we do accept Orders from registered addresses outside the UK\r\nvia our Site (and also other than via the Site). However, in such a case,\r\nalthough we can deliver to a UK address or you can pick up the delivery from\r\nour Coventry site (as above), if you want delivery to a non-UK address, you\r\nmust contact us to ask for the delivery prices to a non-UK address, which we\r\nwill find out and tell you.
3.4. Payment\r\nmethods: You shall pay for the Product in full at the time\r\nof ordering by supplying us with a cheque or your credit or debit card details\r\nfrom a credit or debit card company acceptable to us, which we require in order\r\nto process your Order. Alternatively, you may pay by any method that we have\r\nsaid is acceptable to us, but in any event (unless otherwise agreed by us in\r\nwriting) we shall not be bound to supply before we have received cleared funds\r\nin full. We may need to run credit checks or other anti-fraud checks in certain\r\ncases, for example, if the billing address does not match the delivery address\r\n– and you agree to cooperate with these checks.
3.5. Instalments:\r\nIf an Order comprises multiple Products we may deliver the Products in\r\ninstalments, for which we may invoice you separately. Each instalment shall\r\nconstitute a separate Contract. Any delay in delivery or problem with one\r\ninstalment shall not entitle you to cancel any other instalment. This applies to our business customers only.
3.6. Permission\r\nto pay: If you are asked for details of a payment card or a\r\ncheque, you must be fully entitled to use that card and account. The card and\r\naccount must have sufficient funds to cover the proposed payment to us.
3.7. Correct\r\ndetails: You undertake that all details you provide to\r\nus for the purpose of purchasing the Product from us will be correct, that the\r\ncredit or debit card, or account or other payment method, which you use, is\r\nyour own and that there are sufficient funds or credit facilities to cover the cost of the Product. We reserve\r\nthe right to obtain validation of your credit or debit card details before providing\r\nyou with the Product.
3.8. Being\r\nbound by these Terms and Conditions: When you\r\nsubmit an Order to us or the Site, you agree that you do so subject to these\r\nTerms and Conditions current at the date you submit your Order. You are\r\nresponsible for reviewing the latest Terms and Conditions each time you submit an Order.
3.9. Your\r\nOrder is an offer to buy: Your Order remains\r\nvalid as an offer until we issue our Confirmation\r\nof Order or, if earlier, when we receive your notice revoking your Order.
3.10. \r\nAcceptance of your\r\nOrder: We shall not be obliged to supply the Product to\r\nyou until we have accepted your Order. Unless expressly stating that we accept\r\nyour Order, an email, letter, fax or other Acknowledgement of your Order by us\r\nis purely for information purposes and does not constitute the\r\nConfirmation of Order. In that Acknowledgement, we may give you an Order\r\nreference number and details of the Product you have ordered. We may, in our\r\ndiscretion, refuse to accept an Order from you for any reason, including\r\nunavailability of supplies or we may offer you an alternative Product (in which\r\ncase we may require you to re-submit your Order first). The Contract shall be\r\nformed and we shall be legally bound to supply the Product to you when we\r\naccept your Order. Acceptance shall take place when we expressly accept your\r\norder by email, letter or fax to you, in the form of a document called a\r\n“Confirmation of Order” stating that we are accepting your Order. Our\r\nConfirmation of Order shall be deemed to come into effect when it has been\r\ndespatched by us. Without affecting your obligation to pay us earlier, we may\r\nsend an invoice to you at any time after we have accepted your Order. Until the\r\ntime when we accept your Order, we reserve the right to refuse to process your\r\nOrder and you reserve the right to cancel your Order. If we or you have\r\ncancelled your Order before we have accepted it, then we will promptly refund\r\nany payment already made by you or your credit or debit card company to us for\r\nthe order of the Product.
3.11. Mistakes\r\nin an Order: If you discover that you have made a mistake with your Order after you\r\nhave submitted it to us or the Site, please contact customerservice@ukflooringdirect.co.uk or 0844 327 4444\r\nimmediately.
3.12. Accuracy\r\nof prices: We\r\ntry very hard to ensure that the price given to you is accurate, but the price\r\nof your Order will need to be validated by us as part of our acceptance\r\nprocedure. If the price for the Order changes before we accept your\r\nOrder, we will contact you and ask you to confirm that you wish to proceed at\r\nthe amended price.
3.13. Cancelling\r\nbefore despatch: If you wish to cancel your\r\nOrder after you have received the Confirmation of Order but before the Product\r\nhas been despatched to you, we will refund the payment made by you or your\r\ncredit or debit card company to us, for our sale of the cancelled Product,\r\nwithin 2 Business Days of our receipt of your notice of cancellation. You must\r\nsend your notice of cancellation by email to customerservice@ukflooringdirect.co.uk or by fax to 02476 397 828,\r\nin each case quoting our order reference number and delivery details.
3.14. A record of your order:\r\nWe keep an electronic copy of the contract between us for any Order and we will\r\nsend you, by email, both the details of your Order and a copy of the current\r\nTerms and Conditions that apply to that Order. Of course, you can also find the\r\ncurrent Terms and Conditions here at all times and details of all your recent Orders\r\ncan be found in your Account (accessed with your customer login).
4. \r\nPRICE PROMISE GUARANTEE
4.1. \r\nOur Price Promise\r\nGuarantee: If you see or buy a Product on the Site and find it\r\ncheaper elsewhere, as long as that cheaper price is inclusive of VAT and\r\nincludes applicable delivery costs, we will:
4.2. \r\nScope of Price Promise\r\nGuarantee: The Price Promise Guarantee applies only to\r\nidentical products and goods in stock immediately available (and not on\r\nrequest) from online competitors who sell to consumers. The product or goods\r\nmust be priced fully and accurately.

clearly stating the\r\ndetails of the Product, the competitor, the cheaper price you have seen, where\r\nyou saw the cheaper price and the date on which you saw the cheaper price. If\r\nwe (i) accept your Price Promise Guarantee claim and you are yet to buy the\r\nProduct, you will be able to place an Order for the Product at the reduced\r\nprice detailed under clause 4.1.1; or (ii) accept\r\nyour Price Promise Guarantee claim and you have already purchased the Product,\r\nwe will refund the difference, as detailed under clause 4.1.2, to you within 14\r\ndays of our acceptance of your claim.
4.4. \r\nWhat the Price Promise\r\nGuarantee does not apply to: The Price\r\nPromise Guarantee does not apply to:
4.4.1. \r\nany special, promotional\r\nor discounted offers given by competitors; or
4.4.2. \r\nany competitors who are\r\nin administration or closing down.
5. \r\nDELIVERY OF THE PRODUCT
5.1. \r\nDelivery: We\r\naim to deliver the Product to you at the kerb-side at the nearest access point\r\nfor our delivery lorry to the place of delivery requested by you in your Order.\r\nYou must arrange for the transport of the Product from the kerb-side once it\r\nhas been unloaded from the delivery lorry, although we may be able to deliver\r\nlight parcels to your door.
5.2. \r\nDetails when you place your Order: When\r\nyou place your Order you must inform us if you have any doubt whether our\r\ndelivery lorry will be able to access the place of delivery you stipulate in\r\nthat Order due to, for example, size or weight restrictions. If we cannot\r\naccess the place of delivery that you stipulate in your Order due to the size\r\nof our delivery lorry, to the extent permitted by law, we shall not be liable\r\nto you for any losses, liabilities, costs, damages, charges or expenses arising\r\nout of:
5.2.1. \r\nnon-delivery of the\r\nProduct; or
5.2.2. \r\ndelivery of the Product\r\nat a place different to the place of delivery that you stipulate in your Order.
5.3. \r\nAccepting delivery: We\r\ncannot leave Products at places of delivery stipulated in your Order if you, or\r\nsomeone you have authorised to accept delivery, is not present to accept\r\ndelivery. Anyone at the delivery address will be deemed to be authorised to\r\naccept delivery.
5.4. \r\nTimeframe: We\r\naim to deliver within the timeframe indicated by us at the time of your Order\r\n(and updated in the Confirmation of Order), which will be within 30 days of\r\nyour Order, but we cannot promise an exact date at the time of your Order or at\r\nthe Confirmation of Order. When you place your Order you are able to provide a\r\npreferred delivery date, and, once the Confirmation of Order has been sent, we\r\nwill contact you either to confirm that your preferred date is possible or to\r\narrange an alternative date. We always aim to deliver in accordance with any\r\nconfirmed delivery date we have given to you for any Order which we accept but\r\nwe cannot guarantee any firm delivery dates and we suggest that, if you require\r\nan installation specialist to install the Product, you make arrangements for\r\nthe installation only once you have received delivery of the Product.
5.5. \r\nNext day delivery details: Next\r\nday delivery can be requested for Orders. However, we only offer next day\r\ndelivery for Orders placed by phone (and for which we have received full\r\npayment) before 5pm.\r\nNext day delivery is not available for Orders placed on Saturdays, Sundays or\r\nBank Holidays. Finally, next day delivery is always subject to availability of\r\nstock, subject to a surcharge we will notify to you at the time of ordering and\r\nis always dependent on where the delivery location is as to whether we can\r\noffer it.
5.6. \r\nDelivery times: We\r\naim to deliver between the hours of 8am and 6pm on Business Days and between\r\nthe hours of 8am and 4pm on Saturdays. (Please note that delivery on Saturdays\r\nis available for Orders by phone only and is always subject to availability of\r\nstock, subject to a surcharge we will notify to you at the time of ordering and\r\nis always dependent on where the delivery location is as to whether we can\r\noffer it). Specific estimates for the time of delivery on any delivery date\r\ncannot be given.
5.7. \r\nUnable to meet estimated\r\ndelivery date: We shall aim to let you know if we expect\r\nthat we are unable to meet our estimated delivery date but, to the extent\r\npermitted by law, we shall not be liable to you for any losses, liabilities,\r\ncosts, damages, charges or expenses arising out of late delivery.
5.8. \r\nAccepting delivery: On\r\ndelivery of the Product, you are required to sign for delivery. You agree to\r\ninspect the Product for the correct quantities and any obvious faults, defects\r\nor damage before you sign for delivery. If the Product does have an obvious\r\nfault, defect or damage on delivery, you must stipulate that the Product is\r\nfaulty, defective or damaged when you sign for delivery; a failure to stipulate\r\nthis will mean that we cannot replace the faulty, defective or damaged Product.\r\nYou need to keep receipt of the delivered Product in case of future discussions\r\nwith us about it. You must submit any claim to us for faulty, defective or\r\ndamaged Products within 30 days of delivery of the Product to you in accordance\r\nwith this clause to the following contact details:

If you do report a\r\nfaulty, defective or damaged product to us, clause 8 applies.
5.9. \r\nDifficult locations: Please\r\nnote that it might not be possible for us to deliver to some locations. If this\r\nis the case, we will inform you using your contact details and arrange for\r\ncancellation of the Order or an alternative delivery address.
5.10. Packaging: We\r\ndeliver in our standard packaging. Any special packaging requested by you is\r\nsubject to additional charges. It is your responsibility to dispose of all\r\npackaging (e.g. pallets, packaging etc.).
5.11. Risk: All\r\nrisk in the Product shall pass to you upon delivery, except that if you request\r\ndelivery via a particular courier or other third party delivery, risk shall\r\npass at the date when we transfer the Product to such courier or third party.\r\nFrom the time when risk passes to you, we will not be liable for loss or\r\ndestruction of the Product.
5.12. Care\r\nwhen opening: You must take care when opening the Product so as\r\nnot to damage it, particularly when using any sharp instruments.
5.13. Readiness\r\nto receive Products: You shall ensure that you are ready for safe\r\nreceipt of the Product without undue delay and at any time reasonably specified\r\nby us.
5.14. If\r\nyou are not around: If you are not available to take delivery, we\r\nmay leave a card giving instructions on redelivery from the carrier. We may\r\nalso pass on any costs incurred by us as a consequence of no-one being\r\navailable to take delivery.
5.15. Refusal\r\nto accept delivery: If delivery or collection is delayed through\r\nyour unreasonable refusal to accept delivery, if you are not at the place of\r\ndelivery stipulated in your Order on the delivery date that we agree with you,\r\nif you refuse to sign for the delivery of the Product on delivery or if you do\r\nnot (within two weeks of our first attempt to deliver the Product to you)\r\naccept delivery or collect the Product from the carrier, then we may (without\r\naffecting any other right or remedy available to us) do either or both of the\r\nfollowing:
5.15.1. \r\ncharge you for our\r\nreasonable storage fee and other costs reasonably incurred by us, including,\r\nbut not limited to, redelivery costs; and
5.15.2. \r\nno longer make the\r\nProduct available for delivery or collection and notify you that we are\r\nimmediately cancelling the Contract, in which case we will refund to you or\r\nyour credit or debit card company as applicable any money already paid to us\r\nunder the Contract, less our reasonable administration charges (including for\r\nattempting to deliver and then returning the Product).
5.16. When\r\nyou own Products: You shall own the Product on the later of\r\nwhen we deliver it to you and when we receive payment in full for the Products\r\n(including VAT and delivery charges).
5.17. Do\r\nthe Products meet your needs?: It is your\r\nresponsibility to ensure that the Products are sufficient and suitable for your\r\npurposes and meet your individual requirements. We do not warrant that the\r\nProducts will meet your individual requirements. You acknowledge that, unless we specifically state otherwise,\r\nthe Products are standard and not made bespoke to fit any particular\r\nrequirements that you may have.
6. \r\nSAMPLES AND COLOURING
6.1. \r\nSamples: Samples\r\nof Products may be provided out of stock on request through the Site or by\r\ntelephone. Samples are provided for guidance only. Samples of a Product may\r\ndiffer as our Products are natural and no two samples of the same Product will\r\nbe identical. Samples may be subject to a small fee for postage and packing.\r\nOnly 3 samples can be ordered at any one time.
6.2. \r\nColouring: The\r\ncolouring of products as shown on the Site may vary from the Product delivered\r\nto you due to limitations in the software or hardware you use to access the\r\nSite.
7. \r\nRETURNING THE PRODUCT WITHOUT\r\nFAULT
7.1. \r\nNOT AFFECTING YOUR LEGAL\r\nRIGHTS: THE REMEDIES IN THIS CLAUSE 7 ARE ADDITIONAL TO\r\nAND DO NOT AFFECT YOUR LEGAL RIGHTS, UNDER WHICH YOU MAY HAVE THE RIGHT TO\r\nINSIST THAT GOODS THAT YOU BUY FROM BUSINESSES MUST CORRESPOND WITH THEIR\r\nDESCRIPTION, BE FIT FOR THEIR PURPOSE AND BE OF A SATISFACTORY QUALITY. THIS\r\nCLAUSE 7 ONLY APPLIES IN\r\nRESPECT OF PRODUCTS WHICH ARE NOT FAULTY.
7.2. \r\nRight to cancel: If you are contracting\r\nas a consumer, you may cancel a Contract at any time within 14 days, beginning\r\non the day after you received the Product. In this case, you will receive a\r\nfull refund of the price paid for the Products in accordance with our refunds\r\npolicy (set out in clause 9 below). Details of your right\r\nof cancellation, and an explanation of how to exercise it, are provided in the\r\nConfirmation of Order. This provision does not affect your other legal rights\r\nas a consumer. Please note\r\nthat if we have agreed to supply you with any made-to-measure or non-standard\r\nProducts you will not have a right\r\nto cancel under this clause 7.
7.3. \r\nHow to cancel: To\r\ncancel a Contract as detailed under the previous clause, you must inform us in writing.\r\nYou must also arrange prompt delivery of the Products back to us as soon\r\n as reasonably\r\npracticable (and in any event within 14 days of notifying us you wish to\r\ncancel) and at your own cost. If your product is a rug, we can arrange \r\nto collect the product or you can return this to use free of charge. To \r\narrange a return you will need to contact us by email to customerservice@ukflooringdirect.co.uk or by fax to 02476 397 828. If you fail to comply with this obligation, we may have a\r\nright of action against you for compensation.
7.4. \r\nPackaging returned\r\nProducts: If you return any Product because you have\r\ncancelled a Contract, you must ensure that it is adequately packaged and\r\ncarriage has been paid. We shall not accept any responsibility for damage\r\ncaused by inadequate packaging by you.
8.1. \r\nQuality of Products: We\r\nwarrant that:
8.1.1. \r\nthe Product will be\r\ndelivered undamaged in the quantities ordered; and
8.1.2. \r\nthe Product will conform\r\nwith the manufacturer's latest published instructions as set out on the Site or\r\nin our Product materials at the time of your Order.
8.2. \r\nUse of Products: The\r\nProduct is intended to be used strictly in accordance with the manufacturer's\r\nlatest published instructions as set out on the Site or as set out in any user\r\ninstructions sent to you with the Product. It is the user's responsibility to\r\nensure that he or she uses the Product strictly in accordance with those instructions.
8.3. \r\nMinor Adjustments: Before\r\ndelivery, we may make minor adjustments to material, colour, weight,\r\nmeasurements, design and other features to the extent that they are reasonable.
8.4. \r\nInspection: We\r\ntry very hard to deliver Products in excellent condition. However, if you tell\r\nus that any Product is faulty, you agree to keep the Product in its current\r\ncondition available for us (or our agent) to inspect within a reasonable time.
8.5. \r\nAssistance to remedy faulty\r\nProducts: In order to provide you with any remedies for\r\na faulty Product, we may need your assistance and prompt provision of certain\r\ninformation regarding the Product, including:
8.5.1. \r\nyou specifying with\r\nreasonable detail the way in which it is alleged that the Product is damaged or\r\ndefective;
8.5.2. \r\nyou providing to us\r\nphotographic evidence, on request; and
8.5.3. \r\nyou providing us with the\r\ndelivery note number and such other information as we reasonably require.
8.6. \r\nWhen we won’t repair, replace\r\nor refund: If you would like us to repair, replace or provide\r\na refund for the Product where it did conform to the Contract, or we find that\r\nthe Product has:
8.6.1. \r\nbeen misused, abused or\r\nsubjected to neglect, improper or inadequate care, carelessness, damage or\r\nabnormal conditions; or
8.6.2. \r\nbeen involved in any\r\naccident or damage caused by an incorrect attempt at modification or repair; or
8.6.3. \r\nbeen dealt with or used\r\ncontrary to our or the manufacturer's instructions for the Product; or
8.6.4. \r\ndeteriorated through\r\nnormal wear and tear;
after\r\ndelivery by us, we may at our discretion decide not to repair, replace or\r\nrefund you for the Product and/or we may require you to pay all reasonable\r\ncarriage costs and servicing costs at our current standard fees and costs and\r\ncharge this to your credit or debit card, and, to the extent permitted by law,\r\nwe shall not be liable to you for any losses, liabilities, costs, damages,\r\ncharges or expenses as a result.
8.7. \r\nWhat we don’t limit or exclude\r\nliability for: Nothing in these Terms and Conditions excludes or\r\nlimits our liability for death or personal injury caused by our negligence, for\r\nfraud, for breach of Section 12 of the Sale of Goods Act 1979 or for any other\r\nliabilities that we cannot exclude at law.
8.8. \r\nSummary of your legal rights.\r\nWe are under a legal duty to supply products that are in conformity with this\r\ncontract. See the box below for a summary of your key legal rights in relation\r\nto the product. Nothing in these terms will affect your legal rights.
| \r\n This is a summary of your key legal rights. These\r\n are subject to certain exceptions. For detailed information please visit the\r\n Citizens Advice website www.adviceguide.org.uk\r\n or call 03454 04 05 06. If your product is goods, for example a\r\n rug, the Consumer Rights Act 2015 says goods must be as described, fit for\r\n purpose and of satisfactory quality. During the expected lifespan of your\r\n product your legal rights entitle you to the following: · \r\n up to 30 days: if your goods\r\n are faulty, then you can get an immediate refund. · \r\n up to six months: if your\r\n goods can't be repaired or replaced, then you're entitled to a full refund,\r\n in most cases. · \r\n up to six years: if your\r\n goods do not last a reasonable length of time you may be entitled to some\r\n money back. If your product is services, for example\r\n floor fitting, the Consumer Rights Act 2015 says: · \r\n you can ask us to repeat or\r\n fix a service if it's not carried out with reasonable care and skill, or get\r\n some money back if we can't fix it. · \r\n if you haven't agreed a\r\n price beforehand, what you're asked to pay must be reasonable. · \r\n if you haven't agreed a time\r\n beforehand, it must be carried out within a reasonable time. | \r\n
9.1. \r\nReturns: If\r\nyou return a Product to us:
9.1.1. \r\nbecause you have\r\ncancelled the Contract between us within the 14-day cooling-off period (see\r\nclause 7.2), we will process the refund due to you as soon as\r\npossible after they have been safely returned and, in any case, within 14 days\r\nof the day on which we receive the returned Product. In this case, we will\r\nrefund the price of the Product in full, including any applicable delivery\r\ncharges. However, you will be responsible for the cost of returning the Product\r\nsafely to us; or
9.1.2. \r\nfor any other reason (for\r\ninstance, because you consider that the Product is defective under clause 8), we will examine the returned Product and will\r\nnotify you of your refund via e-mail within a reasonable period of time. We\r\nwill usually process any refund due to you as soon as possible and, in any\r\ncase, within 14 days of the day we confirmed to you via e-mail that you were\r\nentitled to a refund. We will refund the price of a defective Product in full\r\nincluding any applicable delivery charges.
9.2. \r\nRefunds: We\r\nwill usually refund any money received from you using the same method\r\noriginally used by you to pay for your purchase - except if payment was in\r\ncash, in which case we will issue a cheque.
10. REGISTRATION\r\nFOR THE SITE
10.1. Need\r\nfor an Account: If you would like to place an Order through\r\nthe Site, you will need to register for an account on the Site (an “Account”)\r\nwhich you will be able to access on the Site through the “My Account” part of\r\nthe Site. To register you need to supply us with your name, postcode and email\r\naddress and possibly some other personal information. See our Privacy\r\nand Cookies Policy for more details about\r\nthis.
10.2. Registration\r\ndetails: Once you register with the Site, you will be\r\nasked to create a username for, and allocate a password to, your Account. You\r\nmust keep the password confidential and immediately notify us if any\r\nunauthorised third party becomes aware of that password or if there is any\r\nunauthorised use of your email address or your Account or any breach of\r\nsecurity known to you. You agree that any person to whom your user name or\r\npassword is disclosed is authorised to act as your agent for the purposes of\r\nusing (and/or transacting via) your Account. Please note that you are entirely\r\nresponsible if you do not maintain the confidentiality of your password.
10.3. Email\r\naddresses: You must be registered with a valid personal email\r\naddress that you access regularly so that, among other things, administration\r\nemails can be sent to you. Any Accounts which have been registered with someone\r\nelse's email address or with temporary email addresses may be closed without\r\nnotice. We may require you to validate Accounts at registration or if we\r\nbelieve you have been using an invalid email address.
10.4. Closing\r\nAccounts: We reserve the right to close your Account if a\r\nnon-UK user pretends to be a UK User, or disrupts the Site in any way.
11. INFORMATION\r\nAND NEWSLETTERS
11.1. Mailing\r\nlists: When you place an Order, we will, with your\r\nconsent, add your details to our mailing lists for news, updates, promotions\r\nand voucher\r\ncodes. Our use of your personal data shall be in\r\ncompliance with our Privacy\r\nand Cookies Policy.
11.2. Unsubscribing: Any\r\ninformation or newsletter that we send to you will contain information for you\r\nto unsubscribe from our mailing list. Alternatively, to unsubscribe contact us\r\non 0844 327 0000 or by logging in to your Account.
12. CIRCUMSTANCES\r\nBEYOND OUR CONTROL
12.1. Circumstances\r\nbeyond our control: We shall not be liable to you\r\nfor any breach, hindrance or delay in the performance of the Contract\r\nattributable to any cause beyond our reasonable control, including any Act of\r\nGod, actions of third parties (including without limitation hackers, suppliers,\r\ngovernments, quasi-governmental, supra-national or local authorities),\r\ninsurrection, riot, civil commotion, war, hostilities, warlike operations,\r\nnational emergencies, terrorism, piracy, arrests, restraints or detainments of\r\nany competent authority, strikes or combinations or lock-out of workmen,\r\nepidemic, fire, explosion, storm, flood, drought, weather conditions, earthquake,\r\nnatural disaster, accident, mechanical breakdown, third party software, failure\r\nor problems with public utility supplies (including general: electrical,\r\ntelecoms or Internet failure), shortage of or inability to obtain supplies,\r\nmaterials, equipment or transportation (\"Event of Force Majeure\"),\r\nregardless of whether the circumstances in question could have been foreseen.
12.2. Terminating: Either\r\nyou or we may terminate the Contract immediately by written notice to the other\r\nin the event that the Event of Force Majeure lasts for a period of two Business\r\nDays or more, in which event neither you nor we shall be liable to the other by\r\nreason of such termination (other than for the refund of a Product already paid\r\nfor by you and not delivered).
12.3. Choosing\r\nwho to supply: If we have contracted to provide identical or\r\nsimilar Products to more than one buyer and are prevented from fully meeting\r\nour obligations to you by reason of an Event of Force Majeure, we may decide at\r\nour absolute discretion which contracts we will perform and to what extent.
13. OUR\r\nRIGHTS TO END THE CONTRACT
This clause 13.1 applies to business customers\r\nand not individuals who are purchasing as consumers.
13.1. Breach\r\nor debt: If\r\nyou:
13.1.1. \r\nare in breach of any or\r\nyour obligations under the Contract; or
13.1.2. \r\nare unable to pay your\r\ndebts or have a petition for administration or winding up presented against you\r\nor commence winding up proceedings or have a receiver or manager appointed over\r\nany of your property or assets or are the subject of a bankruptcy petition or\r\nenter into any composition with creditors generally or take or suffer any steps\r\npreparatory thereto or if any distress or execution is levied or threatened to\r\nbe levied on any of your property or assets;
we\r\nmay terminate the Contract immediately on giving notice in writing and retain\r\nany advance payment and you shall indemnify us against all claims, losses,\r\ndamages, liabilities, costs and expenses of whatsoever nature resulting from\r\nany such termination and all sums due to us from you shall become immediately\r\npayable.
This clause 13.2 applies only to individuals\r\nwho are purchasing as consumers.
13.2. We may end the contract if you break it. We may end the contract for a\r\nProduct at any time by writing to you if:
13.2.1. \r\nyou do not make any\r\npayment to us when it is due and you still do not make payment within 7 days of\r\nus reminding you that payment is due;
13.2.2. \r\nyou do not, within a\r\nreasonable time of us asking for it, provide us with information that is\r\nnecessary for us to provide the products, for example, confirming any\r\noutstanding order requirements; or
13.2.3. \r\nyou do not, within a\r\nreasonable time, allow us to deliver the products to you or collect them from us.
You\r\nmust compensate us if you break the contract. If we end the contract in the\r\nsituations set out above we will refund any money you have paid in advance for\r\nProducts we have not provided but we may deduct or charge you reasonable\r\ncompensation for the net costs we will incur as a result of your breaking the\r\ncontract.
Clauses 13.3 and 13.4 apply to all customers.
13.3. We may withdraw the Product. We may write to you to let you\r\nknow that we are going to stop providing the Product. We will let you know as\r\nsoon as reasonably possible in advance of our stopping the supply of the\r\nProduct and will refund any sums you have paid in advance for Products that\r\nwill not be provided.
13.4. Effect\r\nof termination: Termination\r\nof the Contract shall be without prejudice to any accrued rights or remedies of\r\neither you or us. Termination of the Contract will not affect the coming into\r\nforce or continuance in force of any provision which is expressly or by\r\nimplication intended to come into or continue in force on or after such\r\ntermination.
14. NOTICES
14.1. Form\r\nof notice: Any notice under the Contract shall be in writing\r\nand may be served by personal delivery or by pre-paid or recorded delivery\r\nletter or by facsimile or email addressed to the relevant party at the address\r\nor facsimile number of the relevant party last known to the other.
14.2. When\r\nnotices are effective: Any notice given\r\nby post shall be deemed to have been served two Business Days after the same\r\nhas been posted and any notice given by facsimile shall be deemed to have been\r\nserved upon receipt of an answerback signal from the receiving machine and any\r\nnotice given by email shall be deemed to have been served when the email has\r\nbeen proved to be received by the recipient’s server, and in proving such\r\nservice it shall be sufficient to prove that the letter or facsimile was\r\nproperly addressed or numbered and, as the case may be, posted as a prepaid or\r\nrecorded delivery letter or despatched or an answerback signal received.
15. GENERAL
15.1. Keeping\r\nrecords: We shall keep a record of your order and\r\nthese Terms and Conditions until six years after we have accepted your Order.\r\nHowever, for your future reference, we advise you to print and keep a copy of\r\nthese Terms and Conditions, your Order, the Acknowledgement and the\r\nConfirmation of Order.
15.2. Non-waiver\r\nof rights: No failure or delay by either party in exercising\r\nany right under the Contract shall operate as a waiver of such right or extend\r\nto or affect any other or subsequent event or impair any rights or remedies in\r\nrespect of it or in any way modify or diminish your or our rights under the\r\nContract.
15.3. Unenforceability: If\r\nany clause in these Terms and Conditions shall become or shall be declared by\r\nany court of competent jurisdiction to be invalid or unenforceable, such\r\ninvalidity or unenforceability shall in no way affect any other clause or part\r\nof any clause, all of which shall remain in full force and effect, so long as\r\nthe Terms and Conditions shall be capable of continuing in effect without the\r\nunenforceable term.
15.4. Non-assignment: You\r\nshall not assign or transfer or purport to assign or transfer the Contract to\r\nany other person.
15.5. No\r\npartnership etc.: Nothing in the Contract shall\r\ncreate or be deemed to create a partnership, an agency or a relationship of\r\nemployer and employee between you and us.
15.6. No\r\nthird party rights: A person who is not a party to\r\nthe Contract has no rights under the Contracts (Rights of Third Parties) Act\r\n1999 in respect of the Contract.
15.7. Governing\r\nlaw and jurisdiction: Contracts for the purchase of Products (and\r\nthese Terms and Conditions) and any dispute or claim arising out of or in\r\nconnection with them or their subject matter or formation (including\r\nnon-contractual disputes or claims) shall be governed by English law. Any\r\ndispute or claim arising out of or in connection with such Contracts or their\r\nformation or these Terms and Conditions (including non-contractual disputes or\r\nclaims) will be subject to the exclusive jurisdiction of the English courts,\r\nexcept where, by law, such dispute or claim must be brought in the jurisdiction\r\nin which you are domiciled, or where the relevant law contains mandatory\r\nprovisions that override such exclusive jurisdiction. All dealings,\r\ncorrespondence and contacts between us shall be made or conducted in the\r\nEnglish language.
15.8. \r\nAlternative dispute resolution Alternative\r\ndispute resolution is a process where an independent body considers the facts\r\nof a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled\r\nany complaint, you may want to contact the alternative dispute resolution\r\nprovider we use. You can submit a\r\ncomplaint to The Retail Ombudsman via\r\ntheir website at http://www.theretailombudsman.org.uk The Retail Ombudsman will\r\nnot charge you for making a complaint and if you are not satisfied with the\r\noutcome you can still bring legal proceedings. \r\nIn addition, please note that disputes may be submitted for online\r\nresolution to the European Commission Online Dispute Resolution platform
